What the letter says

The words in the letter, in plain words

Offer letters use a few words that mean less, or more, than they sound. These are the ones that change what reaches your bank.

India: CTC, gross, in-hand

CTC (cost to company)
Everything the company spends on you in a year, including its own PF share, gratuity provision, insurance and sometimes the variable pay. It is the biggest number in the letter and the one you never receive as such.
Gross
What is paid to you before deductions: basic, HRA, allowances. CTC minus the employer's contributions.
In-hand (take-home)
Gross minus your PF share, professional tax and income tax. The monthly number that reaches your account. Work it out with the CTC to in-hand calculator.
Fixed vs variable
Fixed is promised. Variable is "up to", paid on performance and company results, often once a year and often less than the full amount. Ask what was actually paid last year.
PF employer share
The company's provident fund contribution, usually 12% of basic. Most letters count it inside the CTC even though it goes to your PF account, not your bank.
Gratuity
A lump sum paid when you leave after five years of continuous service (Payment of Gratuity Act, 1972). Letters often count a yearly provision for it inside the CTC.

Philippines: basic, allowances, 13th month

Basic pay
The monthly salary before allowances. The 13th month, overtime and night differential are worked out from this number, not from the total package.
Allowances
Rice, transport, meal, de minimis and similar amounts. Some are non-taxable up to a limit. They are usually not part of basic pay, so they do not raise your 13th month.
13th month pay
An extra month of basic pay each year, required by law for rank-and-file staff (Presidential Decree 851). Pro-rated if you join mid-year.
Night differential
Extra pay for hours worked between 10 pm and 6 am; the legal minimum is 10% of the hourly rate. Letters sometimes offer more.
Probationary period
Commonly six months, which is also the legal maximum as generally applied. Six months is the common offer. Ask what standards decide regularization and get them in writing.
HMO
Health cover. Check whether it starts on day one or only after regularization, and whether dependants are included.

Base, bonus, equity, at-will

Base salary
The promised pay. The number that raises, bonus targets and severance are usually built on.
Bonus target
"Up to" or "target" means it depends on results. Ask what was paid out on average last year.
Sign-on bonus and clawback
Paid early, taken back if you leave within a set time. Check the period and whether it is pro-rated.
Equity
Options or RSUs that vest over time, often with a one-year cliff: leave before the cliff and you get nothing.
At-will
Either side can end the job at any time. Notice is then a courtesy, not a promise, unless the letter says otherwise.
Non-compete and non-solicit
Limits on where you can work next, or who you can hire or sell to. Read the length and the geography.

Employment rules differ by country and state. The letter, and a lawyer if the money is large, are the final word.

Example 1 · India

A software engineer offer with a bond and a joining bonus

"Your total Cost to Company (CTC) will be ₹9,60,000 per annum ... fixed component of ₹8,16,000 ... variable component of up to ₹1,44,000 ... joining bonus of ₹1,00,000 ... shall be recovered in full ... serve the company for a minimum period of 18 months ... pay the company ₹2,00,000 towards training costs ... 90 days' notice ..."
  • Pay: quotes the CTC, fixed and variable lines. The variable is "up to", so the promised pay is ₹8,16,000, not ₹9,60,000.
  • Joining bonus and clawback: ₹1,00,000, recovered in full if you leave inside 12 months.
  • Bond: 18 months, ₹2,00,000 if you leave early. Flagged as money out if you leave.
  • Notice: 90 days after probation, 30 during it; the company may recover salary in lieu.
  • Equity: Not mentioned.
  • Questions: is the bond pro-rated; what was the variable payout last year; is the 90-day notice negotiable to 60.
Example 2 · Philippines

A customer service offer with probation and night differential

"Your basic monthly salary will be PHP 22,000, plus a non-taxable de minimis allowance of PHP 2,000 ... 13th month pay as required by law ... Night shift differential of 10% ... probationary status for six (6) months ... HMO coverage begins upon regularization ... 30 days' written notice ..."
  • Pay: basic, the two allowances, 13th month and the night differential, each quoted. 13th month is worked out on the PHP 22,000 basic, not on the allowances.
  • Probation: six months, regularization "subject to performance standards", quoted.
  • Leave and benefits: HMO only after regularization; five days of service incentive leave after one year.
  • Bond, clawback, equity: Not mentioned.
  • Questions: what are the written regularization standards; is HMO for dependants too; what is the schedule so the night differential is real money.

Questions people ask

Is this legal advice?

No. The reader finds and quotes the sentences in your letter that talk about pay, bond, notice, probation, leave and equity, and puts them under plain headings. It never adds an amount the letter does not contain. For anything that could cost you money, such as a bond or a clawback, read the clause yourself and ask HR the questions the page suggests. If a lot of money is at stake, a lawyer is the right person to ask.

Does my offer letter leave my browser?

What is a bond or service agreement in an offer letter?

A promise to stay for a fixed time, usually one to three years, or pay the company a fixed amount if you leave early. It is often written as training cost recovery or a minimum service period. Before you sign, check the amount, the period, whether it drops the longer you stay, and what happens if the company lets you go.

What is a joining bonus clawback?

A clause that lets the company take back a joining or sign-on bonus if you leave within a set time, most often 12 months. It is usually taken from your final settlement. Check whether the full amount is recovered or only a part, and whether the tax you paid on the bonus is counted.

What should I check before I sign an offer letter?

The fixed pay, not the total; every clause that costs money if you leave early; the notice period on both sides; how long probation lasts and what confirms it; and whether the letter is subject to background checks or documents you cannot provide. Get any promise HR made on a call written into the letter before you resign from your current job.
